Role Overview:

We are hiring for one of our clients, seeking a Funds Attorney to work on a contract basis. The role involves providing legal guidance on fund formation, compliance, and transactional matters. The attorney will support investment funds across various asset classes and structures.

Key Responsibilities:

• Draft, review, and negotiate fund documents including limited partnership agreements, side letters, and subscription agreements.
• Advise on regulatory compliance under securities laws, ERISA, and tax regulations.
• Conduct due diligence for fund investments and potential conflicts of interest.
• Assist with fund closings, capital calls, and distributions.
• Monitor regulatory developments and ensure fund operations align with legal requirements.

Required Skills & Qualifications:

• Admitted to practice law in a U.S. jurisdiction.
• 3+ years of experience in funds or investment management law.
• Proficiency in fund formation, compliance, and transactional documentation.
• Knowledge of securities laws, including Regulation D, Regulation S, and Rule 10b-5.
• Strong analytical and problem-solving skills with attention to detail.
